    Terms & Conditions

    These Terms & Conditions apply to all services, subscriptions, products, systems, software access, implementation work, training, support, and related services provided by Blackstar through blackstarops.com or any associated platform, payment link, proposal, invoice, agreement, or checkout page.

    By purchasing, subscribing to, accessing, or using any Blackstar service, you agree to these Terms & Conditions.

    These Terms are governed by the laws of the Republic of Ireland.


    1. Definitions

    In these Terms:

    “Blackstar”, “we”, “us”, or “our” refers to Blackstar and the team providing the services.

    “Client”, “you”, or “your” refers to the business, company, organisation, or person purchasing or using the services.

    “Services” refers to any service provided by Blackstar, including but not limited to the Blackstar AI Front Desk, Blackstar Lead System, CRM setup, GoHighLevel setup, automation, conversational AI, voice AI, landing pages, workflows, training, support, maintenance, and AI operations work.

    “Platform” refers to any software, CRM, automation platform, AI platform, or third-party tool used to deliver the Services, including but not limited to GoHighLevel, phone/SMS providers, AI providers, email systems, calendars, landing pages, and related integrations.


    2. Business-to-Business Services

    Blackstar primarily provides services to businesses, companies, organisations, and business owners.

    By purchasing or subscribing to our Services, you confirm that you are purchasing for business purposes unless otherwise agreed in writing.

    If you are purchasing as a consumer, certain statutory consumer rights may apply and nothing in these Terms is intended to unlawfully limit any rights that cannot be excluded under applicable law.


    3. Services Provided

    Blackstar may provide one or more of the following services depending on the package, proposal, checkout page, or agreement selected:

    • AI Front Desk setup and access
    • Conversational AI setup
    • Voice AI setup
    • Missed-call text-back
    • CRM setup or optimisation
    • GoHighLevel sub-account access
    • Landing page setup
    • Lead capture forms
    • Calendar and appointment booking setup
    • Automated SMS and email follow-up
    • CRM pipeline automation
    • Lead qualification workflows
    • Team notifications and alerts
    • Reporting dashboards
    • Facebook Ads launch training
    • 1:1 training sessions
    • Ongoing support and maintenance
    • Custom AI, automation, or operations work

    The specific scope of your service will be set out in the relevant checkout page, invoice, proposal, agreement, or written confirmation from Blackstar.


    4. AI Front Desk Subscription

    The Blackstar AI Front Desk is a monthly subscription service designed to help businesses handle inbound leads, messages, calls, missed calls, lead qualification, appointment booking, and CRM updates using AI and automation.

    Unless otherwise agreed in writing, the AI Front Desk may include:

    • AI-powered inbound message handling
    • Conversational AI for lead response
    • Voice AI or missed-call handling where available
    • Basic lead qualification
    • Booking calendar connection
    • Basic CRM pipeline
    • Lead alerts
    • Follow-up workflows
    • A template-based landing page where included
    • Live chat or website widget where included
    • Basic onboarding and support
    • Access to relevant training materials

    The AI Front Desk is designed as a SaaS-style subscription. It is not a full custom CRM buildout unless specifically agreed in writing.


    5. Blackstar Lead System

    The Blackstar Lead System is a more comprehensive setup service designed to help businesses capture leads, respond instantly, qualify enquiries, automate follow-up, book calls, update the CRM, and notify the team.

    The Blackstar Lead System may include:

    • GoHighLevel setup or optimisation
    • CRM pipeline setup
    • Conversational AI setup
    • Lead capture system
    • SMS and email follow-up workflows
    • Booking workflows
    • Missed-call text-back
    • Team notifications
    • Lead source tracking
    • Facebook Ads launch training
    • 1:1 training sessions
    • Testing and handover

    The Lead System may require a one-time setup fee, monthly maintenance fee, or custom pricing depending on the agreed scope.


    6. Payments and Billing

    All Services are charged at the time of sign-up, checkout, invoice payment, or subscription activation.

    Monthly subscriptions are billed monthly in advance unless otherwise agreed in writing.

    By subscribing to a monthly service, you authorise Blackstar or its payment processor to charge your selected payment method on a recurring monthly basis until the subscription is cancelled.

    You are responsible for keeping your payment method up to date.

    All prices are exclusive of applicable taxes, VAT, platform charges, usage charges, advertising spend, phone charges, SMS charges, or third-party fees unless expressly stated otherwise.


    7. Monthly Subscription Payments

    Monthly services are charged at the start of each billing period.

    If a payment fails, Blackstar may attempt to collect payment again using the payment method on file.

    Failure to make payment may result in temporary suspension of access to your account, systems, workflows, AI features, CRM, landing pages, automations, or related services.

    If payment is not made within 7 days of the failed payment date, Blackstar reserves the right to delete, deactivate, suspend, or remove your account, sub-account, workflows, automations, AI setup, landing pages, and associated data from our systems.

    You are responsible for exporting or requesting any data you require before cancellation, suspension, or deletion.


    8. Cancellation

    Unless otherwise agreed in writing, monthly subscriptions may be cancelled before the next billing date.

    Cancellation will stop future billing but does not create a right to a refund for the current billing period.

    You will continue to have access until the end of the paid billing period unless your account is suspended or terminated due to non-payment, breach of these Terms, misuse, fraud, or other serious issue.

    Cancellation requests must be submitted in writing to:

    or through any cancellation process made available by Blackstar.


    9. Refund Policy

    All payments are final once payment has been made and onboarding, setup, account creation, strategy work, implementation, software provisioning, system configuration, AI configuration, training access, or service delivery has begun.

    By making payment, you understand and agree that Blackstar begins onboarding and service delivery immediately or shortly after payment.

    Because our Services involve digital setup, software provisioning, account creation, custom configuration, AI setup, automation work, CRM access, and allocation of team resources, we do not offer refunds once work has begun.

    This applies to:

    • Setup fees
    • Subscription fees
    • Lead System payments
    • AI Front Desk subscriptions
    • Maintenance payments
    • Training payments
    • Custom buildout payments
    • One-time implementation fees
    • Deposits
    • Invoices
    • Payment links
    • Checkout payments

    No refunds are provided for change of mind, lack of usage, failure to provide access, failure to complete onboarding, failure to run ads, failure to generate leads, failure to attend training, failure to use the system, or deciding after payment that you no longer need the service.

    Nothing in this clause limits any statutory rights that cannot be excluded under applicable law.


    10. Chargebacks and Payment Disputes

    If you have an issue with a payment or service, you agree to contact Blackstar first at:

    before opening a chargeback, payment dispute, or bank claim.

    By purchasing our Services, you acknowledge that:

    • The Services are digital, technical, and implementation-based.
    • Work may begin immediately after payment.
    • Setup, onboarding, software provisioning, and configuration work are non-refundable once started.
    • Disputing a valid charge may result in immediate suspension or termination of your account and services.

    If a chargeback or payment dispute is opened, Blackstar reserves the right to:

    • Suspend your account
    • Pause all services
    • Remove access to systems
    • Stop support
    • Provide evidence of service delivery to the payment processor
    • Recover any unpaid amounts, fees, or costs where legally permitted

    Fraudulent or abusive chargebacks may result in permanent termination of services.


    11. No Guarantees of Results

    Blackstar provides systems, tools, setup, automation, AI configuration, training, support, and implementation services.

    We do not guarantee:

    • A specific number of leads
    • A specific number of booked calls
    • A specific conversion rate
    • A specific revenue outcome
    • A specific return on ad spend
    • A specific sales result
    • A specific level of business growth

    Results depend on many factors outside our control, including your offer, pricing, market, sales team, response quality, ad spend, lead quality, website traffic, brand reputation, sales process, and how consistently your business uses the system.

    Any examples, case studies, results, numbers, or screenshots are provided for illustration and do not guarantee future performance.


    12. Facebook Ads Training and Advertising

    Where Facebook Ads launch training, Meta Ads training, 1:1 sessions, or advertising guidance is included, this is provided for educational and implementation support purposes only.

    Unless expressly agreed in writing, Blackstar does not provide ongoing paid ad management as part of the AI Front Desk or Lead System.

    Ad spend is not included.

    Blackstar does not guarantee that any ad campaign will be approved, generate leads, produce sales, or deliver a specific cost per lead, cost per booked call, or return on investment.

    You are responsible for complying with Meta, Google, or other advertising platform policies.


    13. Client Responsibilities

    You agree to provide Blackstar with all information, access, content, and approvals reasonably required to deliver the Services.

    This may include:

    • Business information
    • Website access
    • CRM access
    • GoHighLevel access
    • Calendar access
    • Domain access
    • Email access
    • Phone/SMS setup information
    • Offer details
    • Service details
    • FAQs
    • Qualification criteria
    • Branding assets
    • Team contact details
    • Advertising account access where relevant

    Delays in providing information, access, approvals, or feedback may delay delivery.

    Blackstar is not responsible for delays caused by the Client’s failure to provide required information, access, or cooperation.


    14. Legal and Compliance Responsibilities

    You are responsible for ensuring that your use of the Services complies with all laws, regulations, advertising rules, privacy rules, data protection rules, consent requirements, communication rules, and industry-specific requirements that apply to your business.

    This includes, where applicable:

    • Data protection and privacy obligations
    • Marketing consent
    • SMS and email communication rules
    • Call recording rules
    • Advertising platform policies
    • Industry regulations
    • Consumer protection rules
    • Local and international laws relevant to your business

    Blackstar may provide technical setup, but you remain responsible for lawful use of your systems, contacts, customer data, communications, offers, and advertising.


    15. AI Limitations

    AI systems may produce inaccurate, incomplete, delayed, or unexpected outputs.

    AI should not be treated as a replacement for professional judgement, human review, legal advice, financial advice, medical advice, or regulated advice.

    You are responsible for reviewing and approving how AI is used in your business.

    Blackstar may configure AI workflows, prompts, conversational logic, qualification flows, and automations, but we do not guarantee that AI will always respond perfectly, understand every customer, or produce error-free results.

    You agree to monitor AI outputs and notify Blackstar of any issues that need adjustment.


    16. Third-Party Platforms

    Blackstar may use third-party platforms and services to deliver its Services.

    These may include:

    • GoHighLevel
    • AI providers
    • SMS providers
    • Email providers
    • Voice AI providers
    • Calendar tools
    • Payment processors
    • Hosting providers
    • Analytics tools
    • Advertising platforms
    • Other software and integrations

    Blackstar is not responsible for downtime, outages, policy changes, pricing changes, account restrictions, deliverability issues, API changes, errors, or limitations caused by third-party platforms.

    You may also be subject to the terms, fees, and policies of those third-party providers.


    17. Account Access and Ownership

    If your service includes access to a Blackstar-managed platform, CRM, sub-account, AI setup, landing page, workflow, or SaaS account, your access is provided as part of your active subscription.

    If your subscription is cancelled, unpaid, suspended, or terminated, access may be removed.

    Unless otherwise agreed in writing:

    • Blackstar retains ownership of its templates, workflows, snapshots, prompts, frameworks, processes, methods, training materials, and system architecture.
    • You retain ownership of your business data, customer data, branding, and content supplied by you.
    • You receive access to the system while your subscription or agreement is active.
    • You are responsible for requesting export of your data before cancellation, suspension, or deletion.

    Blackstar may refuse to transfer proprietary workflows, snapshots, templates, prompt structures, or internal build materials unless a separate transfer agreement is made.


    18. Support and Maintenance

    Support is provided according to the service package purchased.

    Maintenance may include:

    • AI tuning
    • Light workflow updates
    • Automation fixes
    • CRM adjustments
    • Monthly system checks
    • Support hours
    • Minor improvements
    • Troubleshooting

    Maintenance does not include unlimited rebuilds, major new workflows, full CRM rebuilds, new funnels, ad management, advanced integrations, custom development, or work outside the agreed scope unless separately agreed and paid for.

    Unused support hours do not roll over unless agreed in writing.


    19. Suspension or Termination

    Blackstar may suspend or terminate access to Services if:

    • Payment fails
    • Payment remains unpaid for more than 7 days
    • You breach these Terms
    • You misuse the platform
    • You use the Services unlawfully
    • You attempt to reverse engineer or copy Blackstar systems
    • You abuse support
    • You submit fraudulent disputes or chargebacks
    • You damage or attempt to damage Blackstar systems or reputation
    • Your use creates risk for Blackstar, its clients, or third-party platforms

    Upon suspension or termination, Blackstar may remove access to accounts, workflows, automations, AI tools, landing pages, CRM systems, and support.


    20. Data Loss and Deletion

    If payment is not made within 7 days of a failed payment, your account may be deleted from our system.

    Deletion may result in permanent loss of access to:

    • CRM data
    • Contacts
    • Conversations
    • Workflows
    • AI settings
    • Landing pages
    • Forms
    • Calendars
    • Automations
    • Reports
    • Messages
    • Call records
    • Other related data

    You are responsible for maintaining backups or requesting exports before cancellation, suspension, or deletion.

    Blackstar is not responsible for data loss resulting from non-payment, cancellation, suspension, third-party platform issues, or failure to request export in time.


    21. Intellectual Property

    All Blackstar materials, systems, workflows, templates, prompts, training videos, documentation, designs, strategies, processes, frameworks, and methods remain the intellectual property of Blackstar unless expressly transferred in writing.

    You may not copy, resell, reproduce, distribute, share, license, reverse engineer, or commercially exploit Blackstar materials without written permission.

    You may use the systems and materials provided only for your own business while your service or subscription remains active.


    22. Confidentiality

    Both parties agree to keep confidential any non-public business, technical, financial, client, system, or operational information shared during the course of the relationship.

    Blackstar may use anonymised learnings, non-confidential insights, and general performance trends for internal improvement, marketing, or case study purposes, provided sensitive client information is not disclosed without permission.


    23. Limitation of Liability

    To the maximum extent permitted by law, Blackstar is not liable for:

    • Loss of profit
    • Loss of revenue
    • Loss of leads
    • Loss of business opportunity
    • Loss of data
    • Loss caused by third-party platforms
    • Advertising account issues
    • AI errors
    • Delivery delays
    • System downtime
    • Indirect or consequential loss
    • Client misuse of systems
    • Failure to use the system properly

    Blackstar’s total liability under these Terms shall not exceed the amount paid by the Client to Blackstar in the one month immediately preceding the event giving rise to the claim, unless otherwise required by law.


    24. Changes to Services or Terms

    Blackstar may update, improve, modify, replace, or discontinue parts of the Services from time to time.

    Blackstar may also update these Terms.

    Updated Terms will be posted on the website. Continued use of the Services after updates means you accept the revised Terms.


    25. Governing Law and Jurisdiction

    These Terms and any dispute or claim arising from them shall be governed by and interpreted in accordance with the laws of the Republic of Ireland.

    The courts of Ireland shall have jurisdiction over any disputes arising from these Terms, subject to any mandatory laws that may apply.
